Terms of Service

1. Acceptance of Terms

By accessing or using Land Corporate Clients Using AI App (the "Service"), operated by Speak Your Way To Cash LLC, an Illinois limited liability company ("we," "us," "our"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter a binding contract. By using the Service, you represent that you meet these requirements.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to update it when it changes. We may suspend or terminate accounts at our discretion, including for violations of these Terms.

4. Description of the Service

Land Corporate Clients Using AI App provides AI-powered tools, prompts, training, and workflows designed to help users pursue corporate speaking, coaching, consulting, and training contracts. The Service is provided "as is" and we may modify, suspend, or discontinue features at any time.

5. License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use, subject to these Terms.

6. User Content

"User Content" means anything you upload, submit, or generate through the Service.

• Ownership: You retain ownership of your User Content.
• License to us: You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display User Content solely to operate, improve, and provide the Service.
• Responsibility: You represent that you own or have the rights to your User Content and that it does not violate any law or third-party right.
• AI training: We do not use your User Content to train third-party AI models without your consent. We may use aggregated, de-identified data to improve the Service.

7. Acceptable Use

You agree not to:

• Violate any law or regulation;
• Infringe intellectual property, privacy, or other rights;
• Upload viruses, malware, or harmful code;
• Scrape, harvest, or reverse-engineer the Service;
• Resell, sublicense, or share access to the Service;
• Use the Service to harass, threaten, or defame any person;
• Use the Service to generate misleading, deceptive, or fraudulent content;
• Bypass any security or rate-limiting mechanism;
• Use automated tools to access the Service without our written permission.

8. Payment and Subscriptions

If you purchase a paid plan: (a) you authorize us to charge your payment method on the schedule disclosed at checkout; (b) prices are exclusive of taxes unless stated; (c) subscriptions renew automatically until canceled; (d) you may cancel at any time through your account settings; (e) all sales are final and we do not offer refunds (see Refund Policy).

9. Intellectual Property

The Service, including all software, design, text, graphics, logos, and trademarks, is owned by Speak Your Way To Cash LLC or our licensors and is protected by U.S. and international intellectual property laws. Nothing in these Terms transfers ownership to you. Our trademarks include "Speak Your Way To Cash®," "Evidence-Based Selling®," "The P.A.I.D. Method™," "Theory of the Sale™," and "Psychology of YES℠."

10. AI Features

The Service uses artificial intelligence. AI output may be inaccurate, incomplete, biased, or outdated. AI output is not legal, financial, medical, tax, or professional advice. You are solely responsible for reviewing and verifying AI output before relying on it. See our AI Disclaimer for details.

11. No Guarantees of Results

We make no promises that your use of the Service will produce specific income, business, or personal results. See our Earnings Disclaimer.

12. Third-Party Services

The Service may link to or integrate with third-party services. We are not responsible for the content, policies, or practices of third parties.

13. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including for violation of these Terms. You may terminate by deleting your account. Provisions that by their nature survive termination (e.g., IP, disclaimers, limitations of liability, dispute resolution) will survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEAK YOUR WAY TO CASH LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) $100 USD.

16. Indemnification

You agree to indemnify and hold harmless Speak Your Way To Cash LLC, its officers, employees, and agents from any claim, damages, or expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms or any third-party right.

17. Dispute Resolution; Arbitration; Class Action Waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its then-current Consumer Arbitration Rules, or such other arbitration forum as Speak Your Way To Cash LLC may designate in its sole discretion. The arbitration will be conducted in Illinois or by video conference. YOU AND WE WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You may opt out of this arbitration provision by sending written notice to mgcassociate@ashleynicolekirkwood.com within 30 days of first accepting these Terms.

18. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Exclusive venue for any non-arbitrable dispute lies in the state or federal courts located in Sangamon County, Illinois.

19. Changes to These Terms

We may update these Terms. The "Last Updated" date will reflect the most recent revision. Material changes will be communicated via email or in-app notice. Continued use after changes constitutes acceptance.

20. Miscellaneous

If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms; we may. These Terms are the entire agreement between you and us regarding the Service.
